Premier American Uranium raises C$10 million in private placement
Premier American Uranium Inc. (TSXV:PUR)(OTCQB: PAUIF) announced it has entered into an agreement with Red Cloud Securities Inc. as lead underwriter for a private placement offering to raise approximately C$10 million in gross proceeds.
The company will issue 11,111,112 units at C$0.90 per unit through the bought deal offering. Each unit consists of one common share and one-half of one common share purchase warrant. The full warrants allow holders to purchase common shares at C$1.26 per share within 36 months after closing.
The underwriters have an option to purchase up to an additional 2,222,222 units at the same price for additional gross proceeds of up to C$2 million. Red Cloud Securities leads a syndicate of underwriters for the transaction.
Premier American Uranium plans to use the net proceeds for exploration and advancement of its uranium projects in New Mexico and Wyoming, as well as for working capital and general corporate purposes.
The offering will be conducted through multiple exemptions. A portion of units will be sold to Canadian residents under the listed issuer financing exemption, making those securities immediately freely tradeable. Additional units will be offered in the United States and other jurisdictions through private placement exemptions.
The company will pay underwriters a 6% cash commission on gross proceeds and issue broker warrants equal to 6% of the units sold. The broker warrants are exercisable at C$0.90 per share for 36 months after closing.
The offering is expected to close on or about February 3, 2026, subject to regulatory approvals including TSX Venture Exchange approval. An offering document dated January 21, 2026 is available on the company's SEDAR+ profile.
Premier American Uranium focuses on uranium exploration and development across multiple U.S. districts, with active programs in New Mexico's Grants Mineral Belt and Wyoming's Great Divide and Powder River Basins.
