Pluri prices $3.3M direct offering at $1.50 per share
Pluri Inc. (NASDAQ: PLUR, TASE: PLUR), a biotechnology company based in Haifa, Israel, announced the pricing of a $3.3 million registered direct offering with a single healthcare-focused institutional investor.
The deal involves the sale of 2,228,940 common shares at $1.50 per share. Concurrent with the offering, Pluri will issue unregistered warrants to purchase up to 2,228,940 additional common shares in a private placement. The warrants carry an exercise price of $1.65 per share, become exercisable six months after issuance, and expire five and a half years from the date of issuance.
The gross proceeds of approximately $3.3 million are before placement agent commissions and other offering expenses. Pluri said it intends to use net proceeds for working capital and general corporate purposes.
The closing is expected to occur on or about August 28, 2026, subject to customary closing conditions. A.G.P./Alliance Global Partners is acting as the sole placement agent for the offering.
The common shares are being offered under an effective shelf registration statement on Form S-3, declared effective by the SEC on September 21, 2023. The warrants are being issued under an exemption from registration pursuant to Section 4(a)(2) of the Securities Act of 1933 and Regulation D.
