Plato Gold Corp. closes $55,000 flow-through private placement
Plato Gold Corp. (TSX-V: PGC) (OTCQB: NIOVF) has confirmed the completion of a non-brokered critical-mineral flow-through private placement, raising $55,000 through the issuance of 1,100,000 flow-through common shares at $0.05 per share.
The sole closing occurred on September 29, 2026. The offering had originally targeted up to $150,000, but the unfilled balance has been terminated. No warrants were issued and no finder's fees or commissions were paid.
Proceeds are intended to fund eligible Canadian exploration expenses qualifying as flow-through critical mineral mining expenditures under the Income Tax Act (Canada) at the company's Pic River Platinum Group Metals Project near Marathon, Ontario. The company intends to incur these expenditures and renounce them to subscribers by December 31, 2026.
The issued shares are subject to a statutory hold period, and may not be traded before January 30, 2027. The offering remains subject to final acceptance by the TSX Venture Exchange.
Anthony Cohen, President and CEO and a director of the company, subscribed for 600,000 shares for $30,000, constituting a related party transaction under MI 61-101. The company relied on formal valuation and minority shareholder approval exemptions, as Cohen's participation did not exceed 25% of the company's market capitalization.
