Petvivo converts $2 million in debt to equity through note conversion

Petvivo Holdings, Inc. (OTC: PETV) converted $2,018,155 in outstanding debt to equity through note conversion agreements effective September 30, 2025, according to a company statement.
Four shareholders converted fourteen promissory notes consisting of $1.85 million in principal and $168,155 in accrued interest into 3,669,806 shares of common stock. The conversion prices ranged from $0.50 to $0.75 per share.
The notes were fully converted and cancelled upon share issuance. The company issued restricted shares under an exemption from registration requirements under Section 4(a)(2) of the Securities Act.
The converting shareholders represented themselves as accredited investors acquiring the securities for investment purposes. Stock certificates issued carry restrictions under Rule 144 of the Securities Act, indicating the securities cannot be sold or transferred without registration or an applicable exemption.
