Perpetua Resources prices $71 million share offering at $24.25

Perpetua Resources Corp. (NASDAQ: PPTA) announced the pricing of a public offering of 2,938,000 common shares at $24.25 per share, generating gross proceeds of approximately $71.2 million before expenses.
The company also disclosed that Agnico Eagle Mines Limited intends to exercise its participation right in a concurrent private placement at the same price. This would result in the issuance of an additional 288,200 shares for proceeds of $7.0 million, bringing total gross proceeds to approximately $78.2 million.
BMO Capital Markets, National Bank of Canada Capital Markets, and RBC Capital Markets serve as joint book-running managers for the offering. The transaction is expected to close on or about October 30, 2025, subject to customary closing conditions.
Perpetua Resources stated it will use the net proceeds to fund construction and development of the Stibnite Gold Project in Idaho, working capital costs, exploration activities, restoration work, and general corporate purposes. The Stibnite Gold Project involves gold-antimony-silver deposits in central Idaho.
The public offering is being conducted under the company's effective shelf registration statement filed with the Securities and Exchange Commission. The concurrent private placement with Agnico Eagle is not contingent on the completion of the public offering, though both transactions are expected to close simultaneously.
The company trades on both the NASDAQ and Toronto Stock Exchange under the ticker PPTA.
