Perpetua Resources launches $70 million public stock offering

Perpetua Resources Corp. (NASDAQ: PPTA) announced a $70 million public offering of common shares on Monday. The mining company plans to use proceeds to fund construction and development of its Stibnite Gold Project in Idaho, along with working capital, exploration activities, and general corporate purposes.
BMO Capital Markets, National Bank of Canada Capital Markets, and RBC Capital Markets will serve as joint book-running managers for the offering. The shares are being offered under the company's existing shelf registration statement filed with the Securities and Exchange Commission.
Agnico Eagle Mines Limited indicated it intends to exercise its pro rata participation right through a concurrent private placement at the same price as the public offering, pursuant to an investor rights agreement dated October 28, 2025. The private placement is subject to completion of the public offering, though the public offering does not depend on the private placement closing.
The company stated the offering may also be conducted in Canada and offshore jurisdictions through private placements in compliance with applicable securities laws. Perpetua Resources plans to rely on TSX Company Manual exemptions as an eligible interlisted issuer.
Perpetua Resources focuses on gold-antimony-silver deposits in central Idaho through its Stibnite Gold Project. The company describes the project as designed to restore an abandoned mine site while producing gold and antimony, with antimony trisulfide representing the only known domestic source that can meet U.S. defense requirements for small arms, munitions, and missiles.
