Panther Minerals plans $3M brokered private placement

Panther Minerals Inc. (CSE: PURR, OTCQB: GLIOF, FWB: 2BC) has announced a brokered private placement of up to $3,000,000, with Leede Financial Inc. acting as sole lead manager and bookrunner, according to a company statement.

The offering consists of up to 6,000,000 units priced at $0.25 each, targeting gross proceeds of up to $1,500,000, and up to 6,000,000 special warrants also priced at $0.25 each, targeting an additional $1,500,000. Each unit includes one common share and one warrant exercisable at $0.33 per share for 24 months from closing.

Special warrants will convert into one common share and one warrant without additional payment, either upon receipt of a final prospectus or four months and one day after closing. Warrants issued upon conversion carry the same $0.33 exercise price and 24-month term.

Leede Financial will receive a 7% cash commission on gross proceeds, agent warrants equal to 7% of units and special warrants sold, exercisable at $0.25 per share for 24 months, and a corporate finance fee.

The offering is expected to close on or about July 7, 2026, subject to regulatory approvals and acceptance by the Canadian Securities Exchange. The company intends to apply to list the additional shares on the CSE.

Panther Minerals said it plans to use net proceeds to fund its Phase 1 exploration program, working capital, and general corporate purposes. Certain insiders may participate in the offering, which the company expects would qualify for exemptions under Multilateral Instrument 61-101.
