Osisko Critical Minerals plans C$100M private placement

Osisko Critical Minerals Corporation, a wholly-owned subsidiary of Osisko Metals Incorporated (TSX: OM; OTCQX: OMZNF; FRANKFURT: 0B51), announced a best efforts private placement of special warrants priced at C$0.25 per unit, targeting gross proceeds of C$100 million to fund exploration and development of mineral properties in New Brunswick, Canada.



Canaccord Genuity Corp. will act as lead agent and sole bookrunner for the offering, which is expected to close on or about November 17, 2026.



Each special warrant will automatically convert into one unit consisting of one common share and one-half of one common share purchase warrant upon satisfaction of release conditions. Each full warrant will carry an exercise price of C$0.35 per share, exercisable for 24 months following the closing date.



Release conditions include receipt of a final qualifying prospectus from Canadian securities regulators and conditional approval from the TSX Venture Exchange to list the common shares and warrants, both required within 180 days of closing.



Net proceeds are designated for exploration and development costs at the New Brunswick properties, along with general working capital and corporate expenses.



The New Brunswick properties comprise approximately 2,972 mineral claim units covering roughly 645 square kilometres, staked or under option by Osisko Metals through three separate option agreements dated January 9, April 20, and September 9, 2026. The properties include exploration targets for copper, silver, and gold.



Incoming CEO John Burzynski stated: "We look forward to completing this offering to capitalize this new venture and to advancing our aggressive exploration program on these highly prospective copper assets."



The company noted there is no certainty the private placement will be completed on the proposed terms, as completion remains subject to legal and tax structuring, financial analysis, execution of definitive documentation, and required regulatory approvals.
