Odysight.ai says it won't use ATM offering near current share price

Odysight.ai (NASDAQ/TASE: ODYS) has issued a clarification regarding its previously announced at-the-market offering program, stating that it does not currently intend to sell shares at or near the current market price of its common stock.
The company said the ATM facility does not obligate it to issue or sell any shares, and that it plans to use the program only under market conditions and at valuation levels that management considers appropriate given the company's commercial progress, operational needs, and long-term prospects.
Odysight.ai stated it has not made any determination to undertake sales under the ATM facility at this time.
Management described the ATM facility as a financing tool that may provide financial flexibility if the company determines additional capital is needed to support working capital, commercial growth, or other strategic objectives.
The prospectus supplement related to the program was filed on June 5, 2026, and is connected to the company's shelf registration statement on Form S-3 filed with the SEC on January 30, 2026, which became effective on February 6, 2026. Roth Capital Partners, LLC is associated with the offering.
