Ocugen completes $20 million stock offering with Janus Henderson

Ocugen Inc. (NASDAQ: OCGN) completed a registered direct offering of 20 million shares of common stock and accompanying warrants with Janus Henderson Investors for $20 million, according to a company statement.
The biotechnology company sold shares at $1.00 per share, which matched the closing price on August 7, 2025. Each share came with a warrant to purchase an additional share at $1.50 per share. The warrants are exercisable immediately and expire two years from issuance.
Ocugen can call the warrants when its stock's volume-weighted average price exceeds $2.50 per share for at least five of 30 trailing trading days. If all warrants are exercised, the company would receive an additional $30 million.
Noble Capital Markets served as the sole placement agent, while Maxim Group and Titan Partners Group provided independent financial advisory services for the transaction.
The company expects the $20 million in gross proceeds, after deducting placement fees and expenses, will extend its cash runway into the second quarter of 2026. Combined with potential warrant proceeds totaling $50 million, Ocugen anticipates funding operations into the first quarter of 2027.
The offering was conducted under an effective shelf registration statement filed with the Securities and Exchange Commission, which became effective May 1, 2024.
Ocugen develops gene therapies for blindness diseases, including treatments for inherited retinal diseases, retinitis pigmentosa, Stargardt disease, and geographic atrophy.
