North Peak Resources raises C$4.38 million in private placement

North Peak Resources Ltd. (TSXV: NPR) (OTCQB: NPRLF) completed an initial closing of its non-brokered private placement, raising aggregate gross proceeds of C$4,380,000 on March 13, 2026.



The Calgary-based gold exploration company issued 4,380,000 equity units at C$1.00 per unit. Each unit consists of one common share and one-half of a common share purchase warrant. The full warrants allow holders to purchase one common share at C$1.50 within 12 months of issuance.



The warrants include an acceleration provision that allows North Peak to reduce the expiry period to 30 days if its common shares trade at or above a volume-weighted average price of C$2.00 for 20 consecutive trading days.



North Peak plans to use the proceeds to continue drilling at its Prospect Mountain property in Eureka, Nevada, business development and general administrative expenses. The securities are subject to a four-month hold period under applicable securities laws.



The company paid finder's fees totaling C$105,000 to five investment firms: Haywood Securities Inc. (C$36,000), Canaccord Genuity Corp. (C$29,700), Integral Wealth Securities Limited (C$24,000), Red Cloud Securities Inc. (C$13,800) and Research Capital Corporation (C$1,500). These firms also received finder's warrants corresponding to their sales contributions, exercisable at C$1.00 per share for 12 months.



The Prospect Mountain Mine complex is located in Nevada's Battle Mountain Eureka trend. The property has a Plan of Operations covering surface exploration on 189 acres and underground mining of up to 365,000 tons annually.
