North Peak Resources completes $5.675 million private placement

North Peak Resources Ltd. (TSXV: NPR) (OTCQB: NPRLF) closed the second and final tranche of its non-brokered private placement on March 25, 2026, raising C$1,245,000 through the issuance of 1,245,000 equity units at C$1.00 per unit.

The completion brings the total private placement to 5,675,000 units for aggregate gross proceeds of C$5,675,000. The first tranche closed on March 16, 2026, for gross proceeds of C$4,430,000.

Each unit comprises one common share and one-half of one common share purchase warrant. Each whole warrant entitles the holder to acquire one common share for 12 months from issuance at an exercise price of C$1.50 per share.

The warrants include an acceleration provision allowing North Peak to accelerate the expiry date to 30 days after notice if common shares trade at or above a volume-weighted average price of C$2.00 for 20 consecutive trading days.

North Peak stated it intends to use proceeds to continue drilling at its Prospect Mountain property in Eureka, Nevada, business development and general administrative expenses.

The securities are subject to a four-month hold period under applicable securities laws. The company will pay cash finder's fees of 6% totaling C$33,900 to Leede Financial Inc. (C$30,000) and StephenAvenue Securities Inc. (C$3,900). The company also agreed to issue finder's warrants representing 6% of units sold to these parties, totaling 33,900 warrants exercisable at C$1.00 per share for 12 months.

North Peak is a Canadian gold exploration and development company with its flagship Prospect Mountain Mine complex located in the Battle Mountain Eureka trend in Nevada. The property has a Plan of Operations covering 189 acres for surface exploration and underground mining of up to 365,000 tons annually.
