Nord Precious Metals raises $4 million in private placement
Nord Precious Metals Mining Inc. (TSXV: NTH) announced a non-brokered private placement financing of 16 million flow-through units at $0.25 per unit, raising gross proceeds of $4 million.
Each flow-through unit consists of one common share and one-half share purchase warrant. The warrants allow holders to purchase additional common shares at $0.28 per share for two years from closing, subject to TSX Venture Exchange approval.
The warrants include an acceleration clause that permits the company to require exercise within 30 days if the stock trades above $0.36 for 10 consecutive trading days. All securities will be subject to a four-month hold period following closing.
The company entered into a finder's fee agreement with Research Capital Corporation, paying an 8% cash commission on gross proceeds and issuing finder warrants equal to 8% of the flow-through units sold.
Nord also signed a 60-day advisory agreement with Research Capital dated November 25, 2025, paying $25,000 in cash fees and issuing 100,000 common shares for financial advisory services.
The company will use proceeds for Canadian exploration expenses that qualify as flow-through critical mineral mining expenditures under Canada's Income Tax Act.
Nord operates a high-grade milling facility in Ontario's Cobalt Camp and holds the Castle property, which includes 63 square kilometers of exploration ground. The company reported 7.56 million ounces of silver in inferred resources at its Castle East discovery.
The financing requires regulatory approvals, including TSXV approval, before completion.
