Next Technology Holding raises $157 million in registered direct offering
Next Technology Holding Inc. (NASDAQ: NXTT) announced it entered into a definitive agreement with twenty investors for a registered direct offering expected to generate approximately $157 million in gross proceeds.
The company agreed to issue and sell 71,381,818 shares of common stock at $1.10 per share and pre-funded warrants to purchase up to 71,381,818 shares of common stock at $1.099 per warrant. The transaction is expected to close on or about March 26, 2026, subject to customary closing conditions.
The offering is being conducted under a shelf registration statement on Form S-3 that became effective on November 20, 2025. A final prospectus supplement and accompanying prospectus will be filed with the Securities and Exchange Commission.
Next Technology Holding, incorporated in Wyoming in 2019, operates as a technology company focused on AI-enabled software-as-a-service solutions for industrial clients in the Asia-Pacific region. The company also maintains digital asset holdings, including Bitcoin, according to the press release.
