Nexera Energy closes first tranche of private placement under CTO
Nexera Energy Inc. (TSXV: NGY) (OTC Pink: EMBYF) has closed the first tranche of a non-brokered private placement under a partial revocation of a cease trade order that was issued against the company on August 5, 2025.
The company issued 14,633,333 units at $0.015 per unit, raising $219,500 in aggregate. Each unit consists of one common share and one share purchase warrant. Each warrant entitles the holder to purchase one additional common share at $0.10 for a period of 24 months from issuance.
The warrants include an acceleration clause. If, after four months and one day from issuance, the common share closing price equals or exceeds $0.15 for 30 consecutive trading days, the warrant expiry date will be reduced to 30 calendar days following a company press release announcing the change.
Nexera plans to allocate the net proceeds as follows: $85,550 for audit fees, $91,500 for accounting and financial reporting support, $3,000 for TSX Venture Exchange fees, $20,500 for securities regulator fees, and $17,000 for legal fees. The company said it intends to continue efforts to complete the remainder of the offering.
A cash finder's fee of $1,950 will be paid to Leede Financial Inc., subject to TSX Venture Exchange acceptance. All shares and warrants issued remain subject to the cease trade order until a full revocation order is granted, which the company noted is not certain. A four-month statutory hold period also applies. The first tranche closing remains subject to final TSX Venture Exchange acceptance.
