Nexera Energy closes final tranche of private placement under CTO
Nexera Energy Inc. (TSXV: NGY) (OTC Pink: EMBYF) has closed the final tranche of a non-brokered private placement conducted under a partial revocation of a cease trade order originally issued against the company on August 5, 2025.
In the final tranche, the company issued 6,683,333 units at $0.015 per unit, raising $100,250. Each unit consists of one common share and one share purchase warrant, with each warrant exercisable for one additional common share at $0.10 for 24 months from issuance.
Combined with the first tranche closed on October 20, 2026, Nexera has issued a total of 21,316,666 units for gross proceeds of $319,750 under the offering.
The warrants include an acceleration clause: if the common share closing price equals or exceeds $0.15 for 30 consecutive trading days after four months and one day from issuance, the warrant expiry date accelerates to 30 calendar days following a press release announcing the reduced term.
Nexera stated it intends to allocate net proceeds from the final tranche toward audit fees ($39,350), accounting and financial reporting support ($42,500), TSX Venture Exchange fees ($2,000), securities regulator fees ($9,500), and legal fees ($6,900).
All common shares and warrants issued remain subject to the cease trade order until a full revocation is granted, which the company noted is not certain. The securities are also subject to a four-month statutory hold period. The final tranche closing remains subject to final acceptance by the TSX Venture Exchange.
