Nexcel Metals plans $3.5 million private placement offering

Nexcel Metals Corp. (CSE: NEXX) (OTCQB: NXXCF) (FSE: 2OH) announced a non-brokered private placement to raise up to $3.5 million through the issuance of flow-through and non-flow-through units.



The offering consists of up to 1,190,476 flow-through units priced at $0.42 each and up to 8,571,428 non-flow-through units at $0.35 per unit. Each flow-through unit includes one flow-through common share and one warrant exercisable at $0.50 for 24 months. Each non-flow-through unit contains one common share and one warrant exercisable at $0.45 for 24 months.



The Vancouver-based junior mining company said proceeds from flow-through units will fund Canadian exploration expenses on its Lac Ducharme Property in Quebec and Burnt Hill Property in New Brunswick. Proceeds from non-flow-through units will support additional exploration work and general administrative expenses.



The private placement requires shareholder approval under Canadian Securities Exchange Policy 4, as the maximum issuance would exceed 100% of currently outstanding common shares. The company will seek written consent from shareholders holding more than 50% of outstanding shares as of November 7, 2025.



Closing is anticipated for December 5, 2025, subject to customary conditions. All securities will be subject to a four-month and one-day statutory hold period from the closing date.



The company may pay finder's fees in cash or securities in accordance with applicable securities laws and exchange policies. Nexcel focuses on mineral property acquisition, exploration and development, with current emphasis on properties in Quebec and New Brunswick.
