Newbridge Acquisition closes $57.5 million IPO on NASDAQ
Newbridge Acquisition Limited (NASDAQ: NBRGU) completed its initial public offering of 5,750,000 units, raising $57.5 million in gross proceeds. The offering included 750,000 units issued through the underwriters' full exercise of their over-allotment option.
Each unit was priced at $10.00 and consists of one Class A ordinary share and one right. Each right entitles the holder to receive one-eighth of one Class A ordinary share upon completion of an initial business combination.
The units began trading on the NASDAQ Capital Market under ticker symbol "NBRGU" on January 30. The Class A ordinary shares and rights are expected to trade separately under ticker symbols "NBRG" and "NBRGR" respectively once separate trading begins.
Kingswood Capital Partners served as sole book running manager for the offering. Legal counsel included Loeb & Loeb for the company and Greenberg Traurig for the underwriter.
Newbridge Acquisition is a blank check company incorporated in the British Virgin Islands. The company was formed to pursue mergers, acquisitions or similar business combinations with one or more businesses without limitation to specific industries or geographic regions.
The SEC declared the company's registration statement effective on September 30, 2025, with a post-effective amendment becoming effective on December 18, 2025.
