New Mountain Finance (NMFC) Prices 6 Million Shares at $14.30

New Mountain Finance Corporation (NYSE: NMFC) priced an underwritten primary offering of 2,000,000 shares of its common stock and a concurrent underwritten secondary offering of 4,000,000 shares of its common stock on behalf of a selling stockholder, New Mountain Finance AIV Holdings Corporation at a public offering price of $14.30 per share. The closing of the offering is subject to customary closing conditions and is expected to take place on March 25, 2013. In connection with the offering, AIV Holdings has granted the underwriters for the offering an option to purchase up to an additional 900,000 shares of the Company’s common stock.

The joint-lead book-running managers for the offering are Goldman, Sachs & Co., Wells Fargo Securities, LLC and Morgan Stanley & Co. LLC. The co-lead managers for the offering are Robert W. Baird & Co. Incorporated and Keefe, Bruyette & Woods, Inc. The co-managers are BB&T Capital Markets, a division of BB&T Securities, LLC, Janney Montgomery Scott LLC and Oppenheimer & Co. Inc.
