NeoVolta raises $10 million in registered direct stock offering

NeoVolta Inc. (NASDAQ: NEOV) entered into a securities purchase agreement on January 22, 2026, to sell 2,100,841 shares of common stock at $4.76 per share in a registered direct offering.
The Nevada-based company expects to receive approximately $10 million in gross proceeds before deducting offering expenses. The offering is scheduled to close on or about January 26, 2026, subject to customary closing conditions.
NeoVolta plans to use the net proceeds for working capital and general corporate purposes, according to the company's statement.
The registered direct offering operates under the company's effective registration statement on Form S-3 that was filed with the Securities and Exchange Commission on June 21, 2024, and became effective on June 28, 2024.
The securities purchase agreement includes standard representations, warranties, closing conditions, and indemnification obligations, including liabilities under the Securities Act of 1933.
