Nasus Pharma prices $15 million private placement for drug development

Nasus Pharma Ltd. (NYSE: NSRX) announced it entered into a securities purchase agreement for a private placement expected to generate approximately $15 million in gross proceeds before fees and expenses.



The clinical-stage pharmaceutical company will sell 2,695,425 ordinary shares and accompanying warrants to purchase an equal number of shares at a combined price of $5.565 per share and warrant. The pricing represents a premium to the company's last closing price on the NYSE American.



The warrants carry an exercise price of $6.53 per share and are immediately exercisable. They will expire within two years of issuance or 30 trading days after the company announces top-line results from its NS002 pivotal study, whichever occurs first.



Citizens Capital Markets serves as lead placement agent, with Laidlaw & Company (UK) Ltd. acting as co-placement agent. The private placement includes participation from new and existing investors as well as company board members.



Nasus Pharma plans to use the net proceeds, combined with existing cash and short-term investments, to advance pivotal clinical development of NS002 for anaphylaxis treatment and initiate first-in-human studies for other pipeline products. The funds will also support working capital and general corporate purposes.



The transaction is expected to close on or about February 12, 2026, subject to customary closing conditions. The company has agreed to file a registration statement with the Securities and Exchange Commission for resale of the shares and underlying warrant shares.



The securities have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States without registration or an applicable exemption.
