NV Gold completes private placement raising $415,800

NV Gold Corporation (TSXV:NVX)(OTCQB: NVGLF)(FSE:8NV) completed a non-brokered private placement, issuing 2,079,002 units at $0.20 per unit for gross proceeds of $415,800.40.



Each unit consists of one common share and one transferable warrant. The warrants are exercisable at $0.50 and expire two years from issuance, subject to acceleration provisions if shares close above $0.50 for three consecutive trading days after the four-month hold period.



All securities issued are subject to a statutory hold period expiring four months and one day after closing. The company plans to use proceeds for general working capital purposes.



NV Gold operates 12 exploration projects in Nevada and one in Switzerland, with three priority projects including Slumber, Triple T and SW Pipe. The company has approximately 26.2 million shares issued and reports no debt.



The securities were not registered under the U.S. Securities Act of 1933 and cannot be offered or sold in the United States without registration or applicable exemption.
