NOG prices public offering of 7.2 million shares

Northern Oil and Gas Inc. (NYSE: NOG) announced it has priced an underwritten public offering of 7,207,208 shares of common stock. The company has granted the underwriter a 30-day option to purchase up to an additional 1,081,081 shares.
The offering is expected to close on March 13, 2026, subject to customary closing conditions. The company plans to use net proceeds for general corporate purposes, including repaying a portion of outstanding borrowings under its revolving credit facility.
BofA Securities is serving as the sole book-running manager for the offering. The firm may offer the shares through various transactions on the New York Stock Exchange, in the over-the-counter market, through negotiated transactions, or at market prices.
The offering will be conducted through a prospectus supplement and accompanying base prospectus, filed as part of an effective shelf registration statement with the Securities and Exchange Commission on Form S-3.
Northern Oil and Gas describes itself as a company with a strategy of acquiring and investing in non-operated minority working and mineral interests in hydrocarbon producing basins within the contiguous United States.
