Moleculin raises $8.3 million through warrant exercises

Moleculin Biotech Inc. (NASDAQ: MBRX) announced it has entered into agreements with warrant holders for the immediate exercise of warrants to purchase 2,122,652 shares of common stock at $3.90 per share, generating approximately $8.3 million in gross proceeds before fees.

The transaction involves the exercise of existing warrants, with the issuance of shares registered under effective registration statements. Roth Capital Partners serves as the company's financial advisor for the transaction.

As part of the agreement, Moleculin will issue new unregistered warrants exercisable for up to 6,367,956 shares of common stock. The new warrants carry an exercise price equal to the lesser of $3.90 per share or the lowest volume weighted average price during the next five trading days. The warrants will become exercisable upon shareholder approval and have a five-year term.

The transaction is expected to close on February 20, 2026, subject to customary closing conditions. The company stated it intends to use net proceeds for working capital and general corporate purposes.

The new warrants are being offered through a private placement under an exemption from Securities Act registration requirements. Moleculin has agreed to file a registration statement with the SEC covering the resale of shares issuable upon exercise of the new warrants.

Moleculin is a Phase 3 clinical stage pharmaceutical company developing therapeutic candidates for tumors and viruses. The company's lead program, Annamycin, is currently in development for relapsed or refractory acute myeloid leukemia and soft tissue sarcoma lung metastases.
