Moleculin prices $9.3M public offering at $0.75 per share

Moleculin Biotech, Inc. (Nasdaq: MBRX) announced the pricing of a best-efforts public offering of 12,376,667 shares of common stock, or pre-funded warrants in lieu thereof, along with warrants to purchase up to 37,130,001 shares of common stock, at a combined public offering price of $0.75 per share.



The Common Warrants are immediately exercisable at $0.75 per share and will expire five years following the initial exercise date. The offering is expected to close on or about August 3, 2026, subject to customary closing conditions.



The company said it intends to use the net proceeds to advance its lead drug candidate, Annamycin, through clinical development and for working capital.



Roth Capital Partners is acting as exclusive placement agent for the offering. Maxim Group LLC is serving as financial advisor to the company.



The securities are being offered pursuant to a registration statement on Form S-1 originally filed July 29, 2026 with the Securities and Exchange Commission, which was declared effective on July 31, 2026.



Annamycin is currently in clinical development for relapsed or refractory acute myeloid leukemia and soft tissue sarcoma lung metastases. Moleculin recently initiated the MIRACLE Trial, a pivotal Phase 2/3 study evaluating Annamycin in combination with cytarabine for the treatment of relapsed or refractory acute myeloid leukemia.
