Mingteng raises $2.96M via share offering and private placement
Mingteng International Corporation Inc. (Nasdaq: MTEN) announced the closing of a registered direct offering and concurrent private placement that raised approximately $2.96 million in gross proceeds, before placement agent fees and other expenses.
The China-based automotive mold maker sold 1.48 million Class A ordinary shares at $2.00 per share, along with pre-funded warrants to purchase additional Class A ordinary shares at an original exercise price of $2.00, with $1.99995 pre-funded at closing and a remaining exercise price of $0.00005 per share.
In a concurrent private placement, the company issued unregistered warrants to the same investors to purchase up to 1.48 million Class A ordinary shares at an exercise price of $2.00 per share. Those warrants are exercisable immediately and expire 18 months from the date of issuance.
The offering closed June 18, 2026. The company said it intends to use net proceeds for working capital and general corporate purposes.
FT Global Capital, Inc. served as the exclusive placement agent for the offering, which was conducted under a shelf registration statement on Form F-3 declared effective by the U.S. Securities and Exchange Commission on November 18, 2025.
