Millennial Potash announces $15.25 million private placement offering
Millennial Potash Corp. (TSXV: MLP) (OTCQB: MLPNF) (FSE: X0D) announced a private placement offering of 5 million units at $3.05 per unit for gross proceeds of $15.25 million. Each unit consists of one common share and one-half of a share purchase warrant.
The warrants allow holders to acquire one common share at $4.00 per share for three years from the closing date. Cantor Fitzgerald Canada Corporation serves as lead underwriter and sole bookrunner for the offering.
Under the underwriting agreement, the underwriters will receive cash commissions equal to 6% of gross proceeds and broker's warrants equal to 4% of units sold. The broker's warrants enable holders to purchase common shares at $3.05 each for 36 months. The underwriters have an option to purchase up to an additional 15% of offered units.
The company plans to use proceeds for costs related to a definitive feasibility study for its Banio Potash Project and general working capital. The closing date is expected around January 29, 2026, subject to regulatory approvals including TSX Venture Exchange acceptance.
The offering is being made to purchasers in Canadian provinces except Quebec under the listed issuer financing exemption. Securities may also be offered in the United States through private placement exemptions and in other jurisdictions on a private placement basis.
The securities will not be subject to a statutory hold period under Canadian securities laws. An offering document is available on the company's profile at sedarplus.ca and on its website.
