MetaVia prices $8.1 million public offering at $3.10 per share

MetaVia Inc. (NASDAQ: MTVA) announced the pricing of its underwritten public offering for gross proceeds of approximately $8.1 million, before deducting underwriting discounts and commissions.



The Cambridge, Massachusetts-based clinical-stage biotechnology company priced 2,613,544 shares of common stock along with accompanying Series C and Series D warrants at $3.10 per share. The offering includes 3,920,316 Series C Warrants and 3,920,316 Series D Warrants.



Both warrant series are immediately exercisable at $3.10 per share. The Series C Warrants expire five years from issuance, while the Series D Warrants expire after two years. The Series D Warrants are callable by the company following positive data from its Phase 1b Part III clinical trial for DA-1726, subject to certain conditions.



Ladenburg Thalmann & Co. Inc. serves as sole book-running manager for the offering. The company granted underwriters a 45-day option to purchase additional securities totaling 392,030 shares and accompanying warrants at the same pricing terms.



If all warrants are exercised for cash, MetaVia could receive up to approximately $24.0 million in additional gross proceeds. The company plans to use net proceeds for working capital and general corporate purposes, including continued clinical development of DA-1726 for obesity treatment.



The offering is expected to close on January 16, 2026, subject to customary closing conditions. The securities were offered under a Form S-1 registration statement declared effective by the Securities and Exchange Commission on January 15, 2026.



MetaVia is developing DA-1726, an oxyntomodulin analogue that functions as a dual agonist, and vanoglipel for treating Metabolic Dysfunction-Associated Steatohepatitis.
