Meta Critical Minerals completes $6.47 million private placement

Meta Critical Minerals Inc. (CSE:MTTA)(OTCQB: MTTAF)(FSE:VJ3) completed a private placement offering of 32,363,893 units at $0.20 per unit, raising $6,472,778 in gross proceeds. The offering was oversubscribed and increased from the original amount due to demand.



Revere Securities LLC, a New York-based investment bank, provided strategic advisory services for the offering.



Each unit consists of one common share and one warrant. The warrants allow holders to purchase additional common shares at $0.30 per share for two years from closing, subject to acceleration provisions.



The company may accelerate warrant expiration if shares close at $0.45 or above for 10 consecutive trading days. Following written notice, warrant holders would have 30 days to exercise before expiration.



Meta Critical Minerals paid finder's fees of $331,224.50 and issued 1,656,123 finder's warrants with terms matching the offering warrants.



CEO and Director Rana Vig participated as an insider, purchasing 500,000 units for $100,000. The company relied on exemptions from formal valuation and minority shareholder approval requirements under Multilateral Instrument 61-101, as the related party transaction value remained below 25% of market capitalization.



All securities carry a six-month contractual hold period from closing, exceeding the four-month period required under Canadian securities laws.



The company will use proceeds for advancing mineral projects, potential acquisitions, marketing campaigns, and working capital needs.
