Medincell launches private placement for 6% of share capital

Medincell (Euronext Paris: MEDCL) announced the launch of a private placement representing approximately 6% of the company's share capital, targeting international institutional investors through an accelerated book-building process.



The French biopharmaceutical company plans to use the net proceeds to expand partnering opportunities, maximize value from future collaborations, and strengthen its proprietary long-acting injectable technology platform through targeted innovation.



The private placement will be carried out without shareholders' preferential subscription rights, with the maximum number of new shares set at 5,749,064, representing up to 17% of the capital. The accelerated book-building process began following the announcement and is expected to close before markets open on March 6, 2026.



Settlement and delivery of the new shares are expected on March 10, 2026, with admission for trading on Euronext Paris under the existing ISIN FR0004065605.



Medincell reported that UZEDY, its first commercialized product developed using the company's BEPO technology and marketed by Teva Pharmaceuticals, generated net sales of $191 million in the United States in 2025. Teva's initial net sales outlook for UZEDY in 2026 ranges from $250 million to $280 million.



The U.S. FDA accepted Teva and Medincell's New Drug Application for Olanzapine LAI on February 20, 2026, following submission in December 2025. The acceptance typically initiates a standard review period of approximately eight months.



Jefferies, Leerink Partners, and Evercore ISI serve as Joint Global Coordinators and Joint Bookrunners, while ODDO BHF SCA acts as Joint Bookrunner for the private placement.



The company and members of the Board of Directors and certain management team members have signed 90-day lock-up commitments in connection with the placement.
