MediWound Ltd. (NASDAQ: MDWD) announced it has entered into a securities purchase agreement for a registered direct offering of 1,734,105 ordinary shares at $17.30 per share, raising approximately $30 million in gross proceeds.

The offering is led by a U.S.-based mutual fund and other healthcare-focused investors. H.C. Wainwright & Co. is serving as the exclusive placement agent. The company expects to close the offering on or about September 30, 2025, subject to customary closing conditions.

MediWound plans to use the net proceeds primarily to support EscharEx's pre-commercial activities, enhance large-scale manufacturing capabilities, and for general corporate purposes. EscharEx is the company's investigational therapy for chronic wound debridement currently in late-stage development.

The Israeli biotechnology company develops enzymatic therapies for non-surgical tissue repair. Its FDA-approved product NexoBrid is indicated for enzymatic removal of eschar in thermal burns and is marketed in the U.S., European Union, Japan, and other international markets.

The securities are being offered through the company's shelf registration statement on Form F-3, which was filed with the Securities and Exchange Commission on March 19, 2025, and declared effective on March 27, 2025.
