Mayville Engineering launches public offering of common stock

Mayville Engineering Company (NYSE: MEC) announced an underwritten public offering of common stock shares. The manufacturing solutions provider plans to sell all shares in the offering itself, with underwriters receiving a 30-day option to purchase up to an additional 15% of shares at the public offering price, less discounts and commissions.
William Blair & Company and Craig-Hallum Capital Group serve as lead book-running managers for the offering. The completion, size and terms of the offering remain subject to market conditions.
MEC intends to use net proceeds to reduce outstanding amounts under its senior secured revolving credit facility, fund capital expenditures in growth sectors, and support working capital and general corporate purposes. Some facility repayments relate to amounts borrowed for the Accu-fab acquisition completed in July 2025.
The company's senior secured revolving credit facility carries a 6.42% interest rate as of March 31, 2026, and matures June 28, 2028.
The shares are offered under a shelf registration statement filed with the Securities and Exchange Commission on March 7, 2024, amended May 8, 2024, and declared effective May 20, 2024.
Founded in 1945, MEC operates as a vertically-integrated manufacturing partner providing design, prototyping, fabrication, aluminum extrusion, coating, assembly and aftermarket component services. The company serves commercial vehicles, construction equipment, powersports, datacenter, agriculture and military markets through 22 active facilities across nine states.
