Magic Empire Global prices $3M registered direct offering on Nasdaq
Magic Empire Global Limited (NASDAQ: MEGL), a Hong Kong-based financial services provider, announced the pricing of a registered direct offering of 2,678,572 units at $1.12 per unit, with expected gross proceeds of $3 million.
Each unit consists of one Class A ordinary share and one warrant to purchase one Class A ordinary share, or up to nine Class A ordinary shares through an alternative cashless exercise option. The warrants carry an exercise price of $1.12 per share and are exercisable from the issuance date through the one-year anniversary of that date.
The offering is expected to close on or about Sept. 29, 2026, subject to customary closing conditions. The company said it intends to use net proceeds for working capital and general corporate purposes.
Gross proceeds do not account for placement agent commissions, other estimated expenses, or proceeds from any warrant exercises. Chaince Securities, LLC is acting as sole placement agent for the offering.
The securities are being offered pursuant to a registration statement on Form F-3 previously declared effective by the U.S. Securities and Exchange Commission.
