MIAX completes secondary offering of 7.8 million shares at $41 each

Miami International Holdings Inc. (NYSE: MIAX) announced the completion of a secondary public offering of 7,762,500 shares of common stock at $41 per share. The offering included 1,012,500 additional shares sold through the underwriters' full exercise of their overallotment option.
The company did not sell any shares in the offering and received no proceeds from the transaction. All shares were sold by existing stockholders, including shares issued upon exercise of warrants.
J.P. Morgan, Morgan Stanley and Piper Sandler served as lead joint bookrunning managers for the offering. Raymond James, Rosenblatt, William Blair, and Keefe, Bruyette & Woods acted as joint bookrunning managers.
The Securities and Exchange Commission declared the registration statement for the securities effective on December 11, 2025. The offering was conducted through a prospectus available through the SEC's EDGAR database.
Miami International Holdings operates technology-driven financial markets across multiple asset classes. The company runs nine exchanges including MIAX Options, MIAX Pearl, MIAX Emerald, MIAX Sapphire, MIAX Pearl Equities, MIAX Futures, MIAXdx, The Bermuda Stock Exchange and The International Stock Exchange. The company also owns Dorman Trading, a futures commission merchant.
