Lifezone Metals prices $15 million share offering at $3.40 per share

Lifezone Metals Limited (NYSE: LZM) announced the pricing of an underwritten registered direct offering of 4,411,764 ordinary shares and accompanying warrants at $3.40 per share and warrant.



The warrants will have an exercise price of $4.00 per ordinary share and will be exercisable for four years. Each warrant allows the holder to purchase one ordinary share.



The company expects gross proceeds of approximately $15 million before deducting underwriting discounts, commissions and other expenses. The net proceeds will fund exploration of the Kabanga Nickel Project, project staffing and general corporate purposes.



The offering is expected to close on or about November 12, 2025, subject to customary closing conditions. Existing investors, including Cinctive Capital Management LP, participated in the transaction.



BTIG serves as the sole book-running manager for the offering, with Red Cloud Securities acting as co-manager.



The securities were offered pursuant to a registration statement on Form F-3 filed with the SEC that was declared effective on August 16, 2024, using a shelf registration process.



Lifezone Metals operates the Kabanga Nickel Project in Tanzania and applies hydrometallurgical technology for metals production and recycling. The company also has a recycling partnership in the United States focused on recovering platinum, palladium and rhodium from spent automotive catalytic converters.
