Libra Energy Materials launches $700,000 private placement
Libra Energy Materials Inc. (CSE: LIBR) (OTCQB: LIBRF) (FSE: W0R0) announced a non-brokered private placement targeting aggregate gross proceeds of $700,000, according to a company statement.
The offering consists of two components: 5,000,000 common shares priced at $0.10 per share for gross proceeds of $500,000, and 1,538,462 common shares designated as critical mineral exploration tax credit flow-through shares priced at $0.13 per share for gross proceeds of $200,000.
The company reserves the right to increase the offering to $1,300,000, which would allow for the issuance of up to 10,000,000 common shares and 2,307,692 flow-through shares.
Proceeds from the flow-through shares will be directed toward eligible Canadian exploration expenses at the company's Toivo, Stimson, Flanders South, Flanders North, and SBC projects in Ontario, as well as its Cisco West and Obamska lithium projects in Quebec. Proceeds from the common shares will fund additional property exploration and general working capital.
The offering is expected to close on or about September 14, 2026, subject to regulatory approvals including from the Canadian Securities Exchange. The company anticipates insider participation, which would constitute a related party transaction under Multilateral Instrument 61-101, though it intends to rely on exemptions from formal valuation and minority shareholder approval requirements provided insider participation does not exceed 25% of the company's market capitalization.
Qualifying exploration expenditures equal to at least the gross proceeds from the flow-through shares are to be incurred by December 31, 2027, and renounced to initial purchasers with an effective date no later than December 31, 2026.
