Lexeo Therapeutics prices $135 million public offering at $8 per share

Lexeo Therapeutics Inc. (NASDAQ: LXEO) announced the pricing of its public offering and concurrent private placement for gross proceeds of approximately $135 million, before deducting underwriting discounts and other expenses.
The clinical-stage genetic medicine company offered 15,625,000 shares of common stock at $8.00 per share in the public offering. Lexeo granted underwriters a 30-day option to purchase up to an additional 2,343,750 shares at the same price, minus underwriting discounts and commissions.
Concurrent with the public offering, Lexeo agreed to sell pre-funded warrants to purchase 1,250,015 shares to Balyasny Asset Management at $7.9999 per warrant in a private placement. The private placement is exempt from Securities Act registration requirements and is subject to the public offering's completion and other customary conditions.
Both transactions are expected to close on or about October 20, 2025, subject to customary closing conditions. The public offering's completion does not depend on the private placement's consummation.
Leerink Partners, Cantor, Stifel and Oppenheimer & Co. serve as joint book-running managers for the public offering, with Baird acting as lead manager. Leerink Partners served as sole placement agent for the concurrent private placement.
Lexeo focuses on developing genetic medicine treatments for cardiovascular diseases. The company is advancing therapeutic candidates including LX2006 for Friedreich ataxia cardiomyopathy and LX2020 for plakophilin-2 arrhythmogenic cardiomyopathy.
The public offering is being conducted under a previously filed and effective Registration Statement on Form S-3 with the Securities and Exchange Commission.
