Lexeo Therapeutics launches stock offering and private placement

Lexeo Therapeutics Inc. (NASDAQ: LXEO) announced it has commenced an underwritten public offering of common stock and pre-funded warrants. The clinical-stage genetic medicine company also plans a concurrent private placement with Balyasny Asset Management.
The offering includes shares of common stock and pre-funded warrants that can be purchased instead of common stock by certain investors. Lexeo intends to grant underwriters a 30-day option to purchase additional common stock shares.
The private placement with Balyasny Asset Management will occur alongside the public offering, subject to completion of the public offering and other conditions. The public offering is not dependent on completing the private placement.
Leerink Partners, Cantor, Stifel and Oppenheimer & Co. serve as joint book-running managers for the public offering. Baird acts as lead manager.
The company stated the offerings are subject to market and other conditions, with no assurance regarding completion timing, size or final terms. The public offering operates under a previously filed and effective Registration Statement on Form S-3 with the Securities and Exchange Commission.
Lexeo Therapeutics develops treatments for cardiovascular diseases, with therapeutic candidates including LX2006 for Friedreich ataxia cardiomyopathy and LX2020 for plakophilin-2 arrhythmogenic cardiomyopathy.
The private placement securities have not been registered under the Securities Act and may not be offered or sold in the United States except under applicable exemptions.
