Legend Power Systems announces private placement to raise up to CAD$1.7M

Legend Power Systems Inc. (TSXV: LPS) (OTCQB: LPSIF) announced a non-brokered private placement offering to raise between CAD$1.33 million and CAD$1.7 million through the sale of units priced at CAD$0.12 each.



The Vancouver-based company plans to sell between 11.1 million and 14.2 million units under Canada's Listed Issuer Financing Exemption. Each unit consists of one common share and one warrant that allows the holder to purchase an additional share at CAD$0.12 for 36 months from issuance.



The offering is available to Canadian residents except those in Quebec, and to investors in other jurisdictions where permitted by securities laws. Units issued under this exemption will not be subject to statutory hold periods under Canadian securities laws.



Legend Power may pay finder's fees of up to 5% in cash and issue finder's warrants equal to 3% of total units sold through eligible finders. These finder's warrants carry the same terms as the unit warrants but will be subject to a four-month hold period.



The company intends to use proceeds for operating expenses, material purchases and general working capital purposes. The offering may close in multiple tranches, with final closing scheduled no later than January 31, 2026.



Legend Power previously announced a different private placement on November 25, 2025, which has been terminated. The current offering requires approval from the TSX Venture Exchange and other regulatory approvals.
