Laser Photonics prices $5 million public offering at $0.70 per share
Laser Photonics Corporation (NASDAQ: LASE) announced the pricing of a public offering of 7,142,858 shares of common stock and accompanying warrants at $0.70 per share. The offering includes Series A-1 warrants and Series A-2 warrants to purchase up to 7,142,858 shares each.
The warrants have an exercise price of $0.70 per share and are exercisable upon issuance. Series A-1 warrants expire five years from issuance, while Series A-2 warrants expire twenty-four months from issuance. The offering is expected to close on or about February 9, 2026.
H.C. Wainwright & Co. serves as the exclusive placement agent for the offering. The company expects gross proceeds of approximately $5 million before deducting placement agent fees and other offering expenses.
Laser Photonics plans to use net proceeds for research and development of laser-based technologies, repayment of unsecured promissory notes under a September 12, 2025 Note Purchase Agreement that include default premium and default interest rate, acquisitions, and working capital.
The Securities and Exchange Commission declared the registration statement on Form S-1 (File No. 333-292932) effective on February 6, 2026. The company develops and manufactures laser systems for industrial and defense applications, serving markets including defense, aerospace, energy, maritime, automotive, and advanced manufacturing.
