La Rosa Holdings increases equity purchase facility to $1.0 billion
La Rosa Holdings Corp. (NASDAQ: LRHC) entered into an amended equity purchase facility agreement on August 18, 2025, increasing the commitment amount from $150 million to $1.0 billion in common stock.
The Nevada-based company originally established an equity purchase facility agreement with an institutional investor on August 4, 2025, allowing the company to issue and sell up to $150 million in newly issued common shares. Under the amended agreement, the investor is required to purchase up to $1.0 billion in common shares when the company chooses to issue them.
The amended agreement maintains the same material terms and conditions as the original facility, with the commitment amount increase being the primary change. La Rosa Holdings' common stock carries a par value of $0.0001 per share.
The company must hold a stockholder meeting within 60 days of the August 18 agreement date to seek approval for the increased share issuance authorization. The company is required to provide stockholders with a proxy statement and solicit votes for the proposal, which must comply with Nasdaq Capital Market rules and regulations.
La Rosa Holdings must use reasonable efforts to obtain stockholder approval and ensure its board of directors recommends approval of the proposal. The company previously filed details of the original equity purchase facility agreement with the Securities and Exchange Commission on August 4, 2025.
