Kratos Defense announces $1 billion stock offering

Kratos Defense & Security Solutions Inc. (NASDAQ: KTOS) announced plans to offer $1 billion of common stock in an underwritten public offering. The defense technology company filed the offering under an effective shelf registration statement with the Securities and Exchange Commission.



Underwriters will have a 30-day option to purchase up to an additional $150 million of shares from Kratos. All shares in the offering will be sold by the company, with the proposed offering subject to market and other conditions.



The San Diego-based company stated it expects to use net proceeds to finance customer and program targeted acquisitions, fund investments and capital expenditures for national security programs, and for general corporate purposes including paying offering fees and expenses.



Baird, Raymond James, RBC Capital Markets and Truist Securities are serving as joint book-running managers for the offering.



The securities are being offered under an automatic shelf registration statement on Form S-3ASR that was filed with the SEC and became effective upon filing on February 26, 2026. The preliminary prospectus supplement and accompanying prospectus describing the offering terms will be filed with the SEC.



Kratos operates as a technology, hardware, products, system and software company serving defense, national security and commercial markets. The company's business areas include virtualized ground systems for satellites, unmanned aerial drone systems, hypersonic vehicles, propulsion systems, and electronic products for various defense applications.
