Kratos Defense announces $1 billion stock offering

Kratos Defense & Security Solutions Inc. (NASDAQ: KTOS) announced a proposed public offering of $1 billion in common stock shares. The San Diego-based defense technology company said underwriters will have a 30-day option to purchase up to an additional $150 million in shares.
The company plans to use proceeds from the offering to finance acquisitions targeting customers and programs, fund investments and capital expenditures for national security priorities, and for general corporate purposes including offering-related fees and expenses.
Baird, Raymond James, RBC Capital Markets and Truist Securities are serving as joint book-running managers for the offering. The securities are being offered through an automatic shelf registration statement on Form S-3ASR that became effective upon filing with the Securities and Exchange Commission on February 26, 2026.
Kratos operates in defense, national security and commercial markets, providing technology solutions including satellite ground systems, unmanned aerial systems, hypersonic vehicles and electronic products for various defense applications.
The proposed offering remains subject to market and other conditions. The company stated there can be no assurance the offering will be completed on anticipated terms or at all.
