Jones Soda extends private placement, targeting up to $2.5M
Jones Soda Co. (CSE: JSDA, OTCQB: JSDA) has announced an extension of a private placement originally announced on April 30, 2026, with closing expected during the week of July 6, 2026.
The offering consists of up to 7,500,000 units priced at $0.33 per unit, for aggregate gross proceeds of up to $2.5 million. Each unit comprises one common share and one-half of one share purchase warrant. Each whole warrant entitles the holder to purchase one additional share at $0.45 per share for 36 months following the closing of the offering.
The company may accelerate the warrant expiry to 30 calendar days after issuing notice if the common share closing price exceeds $0.47 for five consecutive trading days on the OTCQB Venture Marketplace or another applicable U.S. market.
Revere Securities LLC is acting as finder and will receive a cash fee equal to 8% of gross proceeds. Proceeds are designated for general working capital purposes.
Securities issued under the offering are subject to a four-month plus one day hold period from closing, and completion is subject to regulatory approvals, including approval from the Canadian Securities Exchange.
