Japan Gold raises C$2.1 million in oversubscribed private placement

Japan Gold Corp. (TSXV: JG) (OTCQB: JGLDF) completed a private placement financing that raised gross proceeds of C$2,067,600, the company announced.
The Vancouver-based mineral exploration company issued 25,845,000 common shares at C$0.08 per share. Equinox Partners Investment Management LLC, a strategic investor and major shareholder, purchased 17,182,500 shares for C$1,374,600.
"We are pleased to announce the successful closing of this Offering, with proceeds supporting our ongoing initiatives in Japan, a jurisdiction recognized for its robust geological potential, low geopolitical risk, and stable mining regulatory framework," said John Proust, Chairman and CEO.
The company will use net proceeds for general and administrative expenses for its operations and Japan-based subsidiary, as well as marketing and advertising activities. Japan Gold issued 150,000 shares as finder's fees to an arm's-length finder.
Following the transaction, Equinox holds 90,133,518 shares, representing approximately 30% of Japan Gold's issued and outstanding common shares. The transaction constitutes a related party transaction under securities regulations, though the company stated it qualifies for exemptions from formal valuation and minority shareholder approval requirements.
The shares issued in the private placement are subject to a four-month hold period expiring December 23, 2025. Japan Gold focuses on exploring for epithermal gold deposits in Japan and maintains partnerships with Barrick Mining Corporation and significant shareholders including Newmont Corporation.
