Japan Gold raises $1 million through private placement with Equinox Partners

Japan Gold Corp. (TSXV: JG) (OTCQB: JGLDF) announced a private placement financing of 17,182,500 common shares at C$0.08 per share for gross proceeds of $1 million to Equinox Partners Investment Management LLC.



The Vancouver-based mineral exploration company said the offering is expected to close around August 15, 2025, subject to regulatory approval from the TSX Venture Exchange. The shares will be subject to a four-month and one-day hold period under applicable securities laws.



Net proceeds will fund general and administrative expenses for the company and its Japan-based subsidiary, according to the press release.



Following the transaction, Equinox will hold 90,133,518 shares, representing approximately 30.45% of Japan Gold's issued and outstanding common shares. Equinox is considered a related party of the company, making this transaction subject to Multilateral Instrument 61-101 regulations for minority shareholder protection.



Japan Gold said it intends to rely on exemptions from formal valuation and minority shareholder approval requirements, as the fair market value of securities issued to the related party does not exceed 25% of the company's market capitalization.



The company focuses on exploration and discovery of epithermal gold deposits across Japan's main islands. Japan Gold maintains an alliance with Barrick Mining Corporation for joint exploration and development of gold properties in Japan with potential for large-scale ore bodies.



Equinox Partners Investment Management LLC and Newmont Corporation are among the company's significant shareholders.
