Invivyd prices $50 million stock offering at $0.52 per share

Invivyd Inc. (NASDAQ: IVVD) announced the pricing of an underwritten public offering of 74,811,404 shares of common stock at $0.52 per share and pre-funded warrants to purchase 21,342,442 shares at $0.5199 per warrant. The biopharmaceutical company expects to raise approximately $50 million in gross proceeds before deducting underwriting discounts and expenses.



The pre-funded warrants are priced at the offering price minus a $0.0001 exercise price. Invivyd has granted underwriters a 30-day option to purchase up to an additional 14,423,076 shares at the public offering price. The offering is expected to close on or about August 22, 2025, subject to customary closing conditions.



Cantor serves as sole book-running manager for the offering.



The company plans to use net proceeds alongside existing cash for trial protocol development and advancement of its VYD2311 clinical program, research and development for respiratory syncytial virus and measles programs, and advancement of its Spike Protein Elimination and Recovery Study Group efforts related to monoclonal antibody therapy for Long COVID and COVID-19 Post-Vaccination Syndrome. Funds will also support working capital and general corporate purposes.



The securities are being offered under a shelf registration statement filed with the Securities and Exchange Commission in September 2022 and declared effective in October 2022.



Invivyd develops antibody treatments for viral infectious diseases, focusing on SARS-CoV-2. The company received emergency use authorization from the FDA for a monoclonal antibody in March 2024.
