Invivyd prices $125 million public offering at $2.50 per share

Invivyd Inc. (NASDAQ: IVVD) announced the pricing of an underwritten public offering of 44 million shares of common stock at $2.50 per share and 6 million pre-funded warrants at $2.4999 each. The biopharmaceutical company expects gross proceeds of approximately $125 million before deducting underwriting discounts and offering expenses.



The offering includes an option for underwriters to purchase up to an additional 7.5 million shares at the public offering price within 30 days. The transaction is expected to close on or about November 19, 2025, subject to customary closing conditions.



Cantor serves as sole book-running manager for the offering, with H.C. Wainwright & Co. acting as lead manager.



The company plans to use net proceeds from the offering, combined with existing cash and cash equivalents, for commercial preparedness for the potential launch of VYD2311, continued research and development for pipeline programs including respiratory syncytial virus and measles, and advancement of the Spike Protein Elimination and Recovery Study Group efforts for Long COVID and COVID-19 Post-Vaccination Syndrome assessment.



The securities are being offered under a shelf registration statement filed with the Securities and Exchange Commission in September 2022 and declared effective in October 2022. A preliminary prospectus supplement and free writing prospectus were filed with the SEC on November 17, 2025.



Invivyd develops antibody treatments for viral infectious diseases, focusing initially on SARS-CoV-2. The company received emergency use authorization from the FDA in March 2024 for a monoclonal antibody in its pipeline.
