Intrusion Inc. launches warrant inducement program at $0.795 per share

Intrusion Inc. (NASDAQ: INTZ) announced that its board of directors approved a warrant inducement program on August 14, 2026, offering holders of existing common stock purchase warrants a temporarily reduced exercise price.
As of August 14, 2026, there were existing warrants outstanding to purchase up to 3,198,085 shares of the company's common stock, with a weighted average exercise price of approximately $3.26 per share. Under the program, warrant holders may exercise their existing warrants for cash at a modified exercise price of $0.795 per share. The offer is available from August 17, 2026, through August 28, 2026, at 5:00 p.m. Eastern Time.
As an incentive, the company will issue one new common stock purchase warrant for each share purchased through the cash exercise of existing warrants at the reduced price. Each new warrant will carry an initial exercise price of $0.67 per share.
The company noted that the $0.795 inducement exercise price includes $0.125 per share attributable to the purchase price of each new warrant, in accordance with Nasdaq guidance. Each new warrant will be subject to a mandatory restriction preventing exercise until six months and one day after its issuance date, and will expire five years from the date it first becomes exercisable. The terms are structured to comply with Nasdaq Listing Rules 5635(d) and 5635(b).
