Integra Resources Corp. (NYSE American: ITRG) announced it has entered into an agreement for a bought deal financing that will raise $55 million in gross proceeds.
The Vancouver-based precious metals producer will issue 16,180,000 common shares at $3.40 per share through underwriters led by Canaccord Genuity Corp. and Stifel Nicolaus Canada Inc. The company has granted underwriters an over-allotment option to purchase up to an additional 1,941,600 shares, representing 12% of the base offering.
Integra plans to use the net proceeds to fund pre-production capital expenditures at its DeLamar Project, including procurement work, early works and land purchase. The offering is expected to close on or about February 9, 2026, subject to customary closing conditions and regulatory approvals from the TSX Venture Exchange and NYSE American.
The company operates the Florida Canyon Mine in Nevada and is developing the DeLamar Project in southwestern Idaho and the Nevada North Project in western Nevada. Integra has filed a preliminary prospectus supplement and will file a final prospectus supplement to its short form base shelf prospectus dated January 16, 2024.
The over-allotment option is exercisable in whole or in part until the closing date. The financing was structured as a bought deal, meaning the underwriters have committed to purchase all shares regardless of investor demand.
